SR. CORPORATE COUNSEL 

As a Sr. Corporate Counsel, you will provide solutions-based counseling to multiple internal clients on a wide variety of complex legal and business issues. 

RESPONSIBILITIES: 


Own securities law compliance, corporate governance matters, and board support 
Modernize board processes, committee charters, and governance policies 
Architect and implement compliance framework for securities laws and regulations (1933 Act, 1934 Act, Reg. D Offerings, Rule 701, insider trading and Blue Sky Compliance) 
Collaborate with the Finance and Accounting teams regarding matters related to internal controls and audit compliance 
Manage securities offerings, stock financings, resales of restricted securities, and related stockholder relations matters 
Advise on equity compensation matters, including the administration of multiple equity incentive plans with stock options, RSUs, and restricted stock awards 
Negotiate corporate transactions in close cooperation with the company’s in-house finance team 
Draft, negotiate, and review a broad range of commercial agreements 


BASIC QUALIFICATIONS: 


JD from an ABA-accredited law school 
7+ years of corporate law experience 


PREFERRED SKILLS AND EXPERIENCE: 


In-house counsel experience 
Ability to register as in-house counsel in California 
Experience working for a top-tier law firm 
Experience representing mature private and public companies 
Experience with securities law compliance 
Experience with complex corporate structures and transactions 
Ability to adapt and be responsive to rapid developments and changes in direction as well as work with technologies, products, and on novel legal issues 


ADDITIONAL REQUIREMENTS: 


Must be admitted to the bar, in good standing, in at least one U.S. State 
This position is based in Hawthorne, CA and requires being onsite - remote work not considered 
Must be able to work extended hours and weekends as needed
